End User License Agreement

This End User License Agreement (“EULA”) is a legal agreement between you (“User”) and KELVIN WINFORD MOSHY (“Licensor”, “we”, “us”) for the use of the Meku Business mobile application (the “App”), available on the Google Play Store.

By downloading, installing, or using the App, you agree to be bound by this EULA. If you do not agree, do not install or use the App.

This EULA is a supplement to our Terms of Service. In the event of a conflict, the Terms of Service shall prevail for matters of service access and billing; this EULA shall prevail for matters concerning the App licence itself.

1. Grant of Licence

Subject to your compliance with this EULA and payment of applicable subscription fees, KELVIN WINFORD MOSHY grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the App on Android devices that you own or control, solely for your own business management purposes.

This licence does not grant you any rights to the underlying source code, intellectual property, or infrastructure of the Service.

2. Restrictions

You must not:

  • Copy, modify, or distribute the App or any portion thereof
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the App
  • Sublicense, sell, resell, transfer, or assign the App or this licence to any third party
  • Remove, alter, or obscure any proprietary notices, labels, or marks in the App
  • Use the App to develop a competing product or service
  • Use the App in any way that violates applicable Tanzanian law or third-party rights
  • Attempt to bypass, disable, or circumvent any security features or access controls

3. Ownership

The App and all copies thereof are proprietary to KELVIN WINFORD MOSHY and title thereto remains in KELVIN WINFORD MOSHY at all times. All rights in the App not specifically granted in this EULA are reserved to KELVIN WINFORD MOSHY. You acknowledge that no title to the intellectual property in the App is transferred to you.

4. Third-Party Components

The App may incorporate open-source software components. Each such component is subject to its own licence terms. The applicable licences are included in the App’s acknowledgements. This EULA does not limit your rights under, or grant you rights that supersede, the licence terms of any open-source component.

5. Updates and Changes

KELVIN WINFORD MOSHY may from time to time provide updates, patches, or new versions of the App (“Updates”) through the Google Play Store. Updates may be required to continue using the Service. This EULA applies to all Updates unless a separate licence accompanies the Update, in which case the separate licence governs.

6. Data Collection

The App collects and processes data as described in our Privacy Policy. By using the App, you consent to such collection and processing. The App requires the following Android permissions to function:

  • CAMERA — for barcode scanning and product photo capture
  • VIBRATE — for haptic feedback on interactions
  • INTERNET — to connect to the Meku API and sync your business data

7. Termination

This licence is effective until terminated. It will terminate automatically, without notice from KELVIN WINFORD MOSHY, if you fail to comply with any provision of this EULA. Upon termination, you must destroy all copies of the App in your possession. KELVIN WINFORD MOSHY may also terminate this licence by discontinuing the App or the Service with 30 days’ notice.

8. Disclaimer of Warranties

The App is provided “as is” without warranty of any kind. To the maximum extent permitted by Tanzanian law, KELVIN WINFORD MOSHY disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. KELVIN WINFORD MOSHY does not warrant that the App will be uninterrupted or error-free, or that defects will be corrected.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall KELVIN WINFORD MOSHY be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the App, even if KELVIN WINFORD MOSHY has been advised of the possibility of such damages.

KELVIN WINFORD MOSHY’s total cumulative liability arising out of or related to this EULA shall not exceed the subscription fees you paid in the 3 months preceding the claim.

10. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the United Republic of Tanzania, without regard to its conflict of law principles. You and KELVIN WINFORD MOSHY consent to the exclusive jurisdiction of the courts of Arusha, Tanzania for any disputes arising under this EULA.
